Investments and transactions

You are going to buy, sell or invest in the Emirates and need someone on your side before you sign

Property, buying and selling companies, due diligence and contracts. I give you clarity on what you are signing, prevent blockages and unnecessary risks, and stay with you until closing.

Who it is for

  • Investors buying property in the Emirates, completed or off-plan.
  • Business owners buying or selling a company.
  • Partners entering a business who want their investment properly regulated.
  • Investors who want to decide in whose name it suits them to buy.

Who it is not for

  • Anyone looking only for a stamp on a document they do not want reviewed.
  • Transactions whose funds cannot be evidenced.
  • Anyone expecting me to recommend where to invest. I review the transaction, not its return.

Before you choose

Five questions before you sign

Most of the problems in a transaction can be avoided before the first signature.

  1. In whose name will you buy?

Personally or through a company: the decision changes succession, tax and financing.

  2. What exactly are you buying?

A property, some shares or a business. Each carries different risks.

  3. Who is selling, and are they able to?

Ownership, encumbrances, powers and authorisations are checked before paying, not afterwards.

  4. What happens if something goes wrong?

Delays, breaches and exits. You need to know what the contract provides before you sign.

  5. Can you evidence the source of the funds?

Banks, developers and registries will ask for it. Having the documents ready avoids blockages at closing.

Comparison

Three transactions, three risks

Each type of transaction calls for a different review. This is the first thing I look at in each.

Completed property

For those buying an asset already built and registered.

What you acquire
Registered ownership of the property.
Main risk
Encumbrances and debts owed to the developer or the community.
What I review
Title deed, encumbrances and terms of sale.
How I help
The contract is the DLD standard form. I make sure the transfer closes without blockages or unnecessary risks.

Off-plan

For those buying from a developer before the work is finished.

What you acquire
A right over a future property.
Main risk
Delays, project changes and the developer's solvency.
What I review
Developer, project registration, escrow account and payment schedule.
How I help
The contract comes from the developer. I explain what you are signing and prevent risks on payments and deadlines.

Buying a company

For those acquiring a going concern.

What you acquire
Shares, with everything the company carries with it.
Main risk
Hidden debts and contingencies.
What I review
Corporate, tax, employment and contractual due diligence.
How I help
Share purchase agreement and warranties tailored to your transaction.

What I see go wrong

Four mistakes when investing in the Emirates

  • Signing the reservation without reviewing it

The first document put in front of you can already bind you and cost you money.

  • Not working out the real cost

Registration fees, developer charges and outstanding payments change the final amount of the transaction.

  • Buying a company without due diligence

Along with the business you buy its debts, its contracts and its breaches.

  • Not thinking about the exit

Resale, inheritance and tax in your country are largely decided on the day you buy.

From start to finish

What I do

  1. Before signing

    • Structure of the purchase or investment.
    • Legal due diligence on the transaction.
    • Negotiation of the terms.
  2. Signing

    • Review of the contracts and what they involve.
    • Warranties, conditions and payment schedule.
    • Shareholders' agreement, where applicable.
  3. Closing

    • Coordination with the agent, the registry, the bank and the other party.
    • Transfer of ownership.
    • Documents for your adviser back home.

How I work

  1. Initial consultation

You tell me about your situation, whether you are abroad or already in the Emirates. This conversation is to understand it, not to sell you a structure.

  2. Assessment

I analyse your case and explain your options, what each one involves and which I recommend, with its legal basis.

  3. Fixed quote

Before we start, you know what will be done, by when and what it will cost.

  4. Execution and follow-up

I handle your matter from start to finish as your single point of contact, and I stay with you afterwards, letting you know when something that affects you changes.

Common questions

Frequently asked questions

Can a foreigner buy property in the Emirates?

Yes, in areas designated for foreign ownership. Before buying you have to confirm the area, the type of ownership and whether your purchasing vehicle can appear as owner.

Should I buy personally or through a company?

It depends on your residence, your heirs and what you want to do with the property. A company can make succession or the entry of partners easier, but it has costs and obligations. I analyse it before you sign the reservation.

What is due diligence?

It is the review of the legal position of what you are going to buy: ownership, contracts, debts, licences and possible contingencies. It helps you decide whether to go ahead, at what price and with what warranties.

Does buying property give the right to live in the Emirates?

It can. The Golden Visa through property investment requires, among other conditions, a minimum investment of AED 2 million. If that is your objective, the conditions should be checked before you buy.

Do I have to declare the investment in my country?

It depends on where you are tax resident. Many countries require you to pay tax on the income and, in certain cases, to report assets held abroad. I coordinate this with your adviser back home.
